These Terms of Service ("Terms") govern access to and use of mbidAI (mbidai.megafintech-hk.com), provided by Megafintech Hong Kong Limited ("Megafintech", "we", "us", or "our"). By creating an account, accessing a workspace, or using the service, you agree to these Terms.
If you use mbidAI on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
mbidAI is a business platform for AI-assisted customer support and workflow automation, including inbox management, configurable AI assistants, skills, and integrations with messaging channels (such as WhatsApp) and third-party tools (such as Google Workspace). Features may change over time. We may add, modify, or discontinue features with reasonable notice where practicable.
You agree not to:
You are solely responsible for your use of connected channels, including compliance with Meta/WhatsApp Business policies and any consent or notice requirements owed to your end customers.
You retain ownership of content and data you submit to mbidAI ("Customer Content"), including messages, contacts, files, and configuration. You grant Megafintech a limited license to host, process, transmit, and display Customer Content solely to provide and improve the service, support you, and comply with law.
You represent that you have all rights necessary to submit Customer Content and to authorize our processing on your behalf, including for AI-assisted responses and third-party integrations you enable.
mbidAI may generate automated responses and workflow actions using AI. AI output may be inaccurate or incomplete. You are responsible for reviewing automated communications where appropriate and for decisions made based on AI output. The service is provided as a tool to assist your team, not as a substitute for professional judgment or legal, medical, or financial advice.
The service integrates with third-party platforms and providers. Your use of those services is subject to their terms and policies. Megafintech is not responsible for third-party services, including WhatsApp, messaging gateways, cloud AI providers, or Google Workspace. Outages or policy changes by third parties may affect availability of related features.
If you subscribe to a paid plan, fees, billing cycles, and usage limits are as described in your order, workspace settings, or separate agreement. Unless otherwise stated, fees are non-refundable. We may change pricing for future billing periods with reasonable notice.
Our collection and use of personal information is described in our Privacy Policy. Each party will protect the other's confidential information using reasonable care and use it only for purposes related to the service.
Megafintech and its licensors own the service, software, documentation, and branding, excluding Customer Content. No rights are granted except as expressly stated in these Terms.
To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation.
To the maximum extent permitted by law, Megafintech will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability arising out of or related to the service or these Terms will not exceed the amounts paid by you to Megafintech for the service in the twelve (12) months before the event giving rise to liability, or one hundred US dollars (USD 100) if no fees were paid.
You will defend, indemnify, and hold harmless Megafintech and its officers, directors, employees, and agents from claims arising out of your Customer Content, your use of the service, or your violation of these Terms or applicable law.
These Terms remain in effect while you use the service. You may stop using the service at any time. We may suspend or terminate access for material breach, legal requirement, or prolonged inactivity. Upon termination, your right to access the service ends. Provisions that by their nature should survive will survive, including ownership, disclaimers, limitation of liability, and indemnification.
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The courts of Hong Kong will have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer protections that apply in your jurisdiction.
We may update these Terms from time to time. We will post the updated Terms on this page and update the effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.
